DMCC Launches Foundations Regulations to Expand Dubai Private Wealth Offering

DMCC Foundations Regulations

Dubai Multi Commodities Centre (DMCC) has formally established its new Foundations Regulations, expanding the range of private wealth and capital structuring options available within its business ecosystem.

The framework targets high-net-worth individuals, family offices, entrepreneurs, investors and international wealth holders looking for more structured ways to manage assets, plan succession and organise long-term ownership from Dubai.

DMCC had already signalled plans for the Foundations framework earlier in 2026. The formal establishment of the regulations now moves that plan closer to full implementation.

DMCC Formalises Its Foundations Framework

DMCC developed the new Foundations Regulations following market consultation, international benchmarking and a review of established foundation regimes. The framework introduces a legal structure that can be used for asset ownership, succession planning, wealth preservation and long-term governance. A DMCC Foundation operates as a separate legal entity from its founder, councillors, guardian and beneficiaries, creating a clear distinction between the foundation itself and the individuals connected to it.

A New Option for Succession Planning

Succession planning is one of the main areas addressed by the new framework. Families and entrepreneurs can use a foundation to establish clearer arrangements around ownership, beneficiaries, decision-making and the future transfer of assets. This can be particularly relevant when wealth includes operating businesses, property, investments or assets spread across different jurisdictions. The structure allows founders to put long-term governance arrangements in place rather than leaving succession decisions until ownership changes become necessary.

Founders Can Retain Certain Powers

The regulations also give founders flexibility when designing how a foundation will operate. According to DMCC, founders may reserve certain powers for themselves or assign them to designated individuals. These powers can relate to investment decisions, appointments and beneficiaries. This gives founders a degree of control while still maintaining the separate legal identity of the foundation.

DMCC Foundations Can Start With USD 100 in Initial Assets

One of the more notable features of the framework is the initial asset requirement. DMCC said a Foundation can be established with assets starting from USD 100. The low entry threshold makes the legal structure relatively accessible at the establishment stage, although actual setup, administration and advisory costs will depend on the complexity of each arrangement. The framework is clearly aimed at more sophisticated wealth planning rather than simply functioning as another standard company licence.

Private Wealth Becomes a Bigger Part of DMCC’s Strategy

The introduction of Foundations fits into DMCC’s broader push into private wealth, family offices and capital structuring. Dubai has continued attracting entrepreneurs, investors and globally mobile wealth, creating demand for structures that go beyond traditional company incorporation. DMCC is responding by building services that cover both operating businesses and the ownership structures behind them.

Dubai Continues to Attract Global Capital

Ahmed Bin Sulayem, Executive Chairman and CEO of DMCC, said the new framework reflects the increasingly sophisticated requirements of family offices, entrepreneurs, private investors and wealth holders. DMCC also linked the launch to growing international capital flows into Dubai. As more investors establish businesses, family offices and long-term interests in the emirate, demand is increasing for structures that can support asset management, governance and succession from within the UAE.

Foundations Join DMCC’s SPV and HoldCo Offering

The Foundations framework joins other structuring tools already introduced by DMCC. The free zone launched Special Purpose Vehicle (SPV) and Holding Company (HoldCo) licences in 2025, giving businesses and investors more ways to organise ownership and investments. Foundations add another layer, with a stronger focus on succession, long-term asset holding and intergenerational wealth planning.

Different Structures for Different Investment Needs

The expanded offering means DMCC members can choose structures based on what they are trying to achieve. An SPV may be used for a specific investment or asset, while a HoldCo can sit above several businesses or subsidiaries. A Foundation serves a different purpose, offering a structure designed around long-term ownership, governance, beneficiaries and succession. That distinction could make DMCC more attractive to investors who need several structuring options within the same jurisdiction.

DMCC Wealth Hub Supports the Private Capital Push

The Foundations framework also sits alongside the DMCC Wealth Hub, another part of the free zone’s private capital strategy. The Wealth Hub is designed to support family offices, private investors, wealth managers and related professional services. Foundations can complement that ecosystem by giving clients another legal structure for holding and managing wealth while remaining connected to DMCC’s wider commercial network.

DMCC FinX Expands the Financial Services Ecosystem

DMCC is also developing DMCC FinX, strengthening its presence in financial services and investment-related activity. Combined with the Wealth Hub, SPVs, HoldCos and Foundations, FinX adds another piece to a broader ecosystem that increasingly connects business formation, finance, investment and wealth management. This matters for entrepreneurs who may want both their operating companies and longer-term ownership structures located within Dubai.

Digital Onboarding Is Being Prepared

The Foundations Regulations have now been formally established, but DMCC is still finalising supporting guidance for applicants. The free zone said a streamlined digital onboarding process is also being prepared. Once launched, the system is expected to make it easier for applicants and advisers to establish Foundations through DMCC. Prospective clients can already register their interest while the final implementation details are being completed.

More Guidance Is Expected

The next stage will be important for wealth managers, legal advisers and family offices considering the structure. Supporting guidance should provide more detail on administration, applications, governance obligations and ongoing requirements. Those details will help investors determine how a DMCC Foundation may fit into their wider ownership and succession strategies.

What the Regulations Mean for DMCC

DMCC has traditionally been associated with commodities, international trade and business formation, but its offering is becoming much broader. The introduction of Foundations shows the free zone moving further into private capital and long-term wealth structuring. Instead of serving only operating companies, DMCC is building an environment where corporate structures, investment vehicles and private wealth arrangements can sit within the same ecosystem.

What It Could Mean for Family Offices

For family offices, the appeal could come from the ability to combine business interests and wealth planning within one Dubai-based jurisdiction. A family may operate companies through DMCC, hold investments through separate vehicles and use a Foundation for succession or long-term asset ownership. That combination could simplify administration for investors who already have substantial commercial interests in the UAE.

Dubai’s Wealth Structuring Market Keeps Growing

Dubai has been strengthening its position as a destination for private capital, family offices and globally mobile investors. DMCC’s Foundations Regulations add another structure to that market. The significance is not simply the creation of a new legal vehicle, but the continued expansion of Dubai’s infrastructure for investors who want to manage both business and wealth from the emirate.

DMCC Expands Beyond Traditional Free Zone Services

The latest move also shows how the role of free zones is changing. Company licences and office space remain important, but sophisticated investors increasingly expect access to holding structures, investment vehicles, succession tools and specialist financial services. DMCC’s growing private wealth offering reflects that shift and gives members more options without requiring them to move outside the free zone ecosystem.
